Entry into this Sweepstakes constitutes your acceptance of these Official Rules. SPONSOR: Freescale Semiconductor, Inc. 6501 William Cannon Drive West, Austin, TX 78735 (“Sponsor”)

DATES: Sweepstakes window: Thursday, July 24, 2014 at 12 a.m. CST through Friday, August 8, 2014 at 11:59 p.m. CST (the “Call Period”) Drawing Winner Announcement Period: Winners will contacted and announced by August 15, 2014.

WHO MAY ENTER: The Sweepstakes is open to individuals who and are at least 18 years old (or the age of majority in jurisdictions where the age of majority is over 18 years and where such Sweepstakes is legal), and resident in a non‐U.S.‐embargoed country ("Entrant") who enter the sweepstakes (See “DATES” section above for Call Period). Residents of Canada are not included. Entrants can be a Distributor of Freescale products. “Distributor” means a person, firm, or other entity, engaged in the general distribution or marketing of Freescale products. Individuals, other than Distributors, employed by Sponsor, their affiliate companies, subsidiaries, advertising and promotion agencies, or judges (collectively “Drawing Parties”) at any time during the Call Period, and members of their immediate family or persons living in the same household, are not eligible. The Sweepstakes is void where prohibited by law.

HOW TO ENTER: Individuals who have a FRDM‐K64F development platform are eligible to enter for a chance to win a Freescale‐powered prize. Entrants who have already created a ‘valid’ and ‘readily available’ code to share must share their code using the ARM® mbed™ development platform to the “FRDM‐K64F Code Share” mbed team page on mbed.org (https://mbed.org/teams/FRDM‐K64F‐Code‐Share/). Entrants must be a registered user of mbed.org in order to post on the FRDM‐K64F Code Share team page. If not a registered member, Entrants may visit https://mbed.org/account/login/?next=/ to register. Each unique contribution is counted as a unique entry during the Sweepstakes Call Period (See “DATES” section above for Call Period.). All posts must be publicly accessible and free for others in this group to use. Mass‐produced entries or other mechanically reproduced entries are void and will not be accepted. Anyone found to use multiple accounts on mbed.org will be ineligible.

HOW TO WIN: Following the close of the Call Period, two winners will be randomly selected from all eligible Entrants that provide ‘valid’ code. Winners will be contacted via private message by Freescale Semiconductor, Inc. 6501 William Cannon Drive West MD: OE58, Austin, TX 78735 www.freescale.com the Sponsor via mbed community site. Winners can claim the prize by sending their contact information, including postal address, email address and phone number to R65638@freescale.com. The winner must meet the eligibility requirements set forth in these rules, and may be required to sign an affidavit of eligibility, and liability and publicity release, where permitted by law, in order to qualify for the prize. Limit one prize per person during the Call Period.

Note: You are not a winner of any prize until you have been verified as a winner by the Sponsor.

ODDS OF WINNING: The odds of winning depend upon the number of eligible entries received.

PRIZES: Two Freescale‐powered Garmin Forerunner 10 watches valued at $129 USD will be awarded at the end of the Call Period. Prizes are not transferable to another person, but the Sponsor reserves the right, at its sole discretion, to transfer the prize on a case by case basis. Sponsor reserves the right to substitute a prize or prize component of equal or greater value or to provide a cash award of equal value. All applicable taxes and usage charges on prizes are the sole responsibility of the winner. If required by law, Sponsor or its agents shall require payment from winner of taxes to be remitted to the appropriate taxing authorities.

CLAIMING PRIZE: Winners will be contacted via private message by the Sponsor via mbed community site. Winners can claim the prize by sending their contact information, including postal address, email address and phone number to R65638@freescale.com. (See “DATES” section above for “Drawing Winner Announcement Period”) Drawing Parties are not liable for inability to notify due to incorrect email addresses. All Entrants will be responsible for following Sponsor instructions as indicated. The winner’s name may be posted by posted by Sponsor on Facebook, Twitter and Google+ and other public web and social media sites. Winners will have until 11:59 p.m. CST on September 12, 2014 to claim their prize. The winner may be asked to provide their contact details including their full name, company name, postal address, email address and phone number. All properly claimed prizes will be awarded. As a condition of winning the prize, the winner may be required to complete, sign and return an affidavit or eligibility and liability and publicity release, where permitted by law, and any other applicable forms required by a taxing authority, within 14 days of receipt of written prize notification or prize will be forfeited. If any correspondence or any prize is returned as undeliverable, the corresponding prize will be forfeited. Should a winner make any false statement(s) in any document referenced above, the winner will be required to promptly return to Sponsor his/her prize. By accepting prize, winners consent to Sponsor’s use of their name, photograph and/or likeness, address, voice, and statements made by or attributed to them, in perpetuity, in any and all media now known or hereafter developed (including, without limitation, print, broadcast and Internet), for all legitimate business purposes including advertising and promotional activities without additional compensation, unless prohibited by law. Upon delivery to the winner’s Freescale Semiconductor, Inc. 6501 William Cannon Drive West MD: OE58, Austin, TX 78735 www.freescale.com address Sponsor will be deemed to have awarded the prize to the winner with winner assuming full responsibility for the prize.

SURVEY PARTICIPANTS: In addition to the call to share FRDM‐K64F code based on mbed software, the Sponsor is also seeking feedback on the FRDM‐K64F experience. A survey will be issued alongside the ‘Call for Code’ send and is limited to original recipients of the email. Those who respond to the survey and provide their email address will be entered into a separate drawing for another Freescale‐powered prize. In addition to the two prizes available to eligible ‘Entrants’ of the ‘Call for Code’ sweepstakes, there is an additional way to win by participating in the survey. One random winner will receive a Withings Pulse Monitor valued at $129 USD. The survey period will follow the same timeline as the “Call Period” mentioned above. Survey participants are not required to share code, but only to respond to the survey. As well, those who share code are not required to participate in the survey. Doing so, however, will increase the chances of winning a prize.

MISCELLANEOUS CONDITIONS: This Sweepstakes is void where prohibited by law. These Rules cannot be modified or superseded except by Sponsor, in its sole discretion. All entries (valid code) shared will be posted on the mbed library for a resource and is free for others to use based on participating in this contest and will not be returned. By participating Entrants agree to abide by and be bound by these Official Rules which shall be final and binding with respect to all issues relating to this Sweepstakes. Entrants’ Entries must not include material that: (i) are sexually explicit, indecent, obscene, unnecessarily violent, hateful, tortuous, defamatory, slanderous or libelous, (ii) is derogatory, designed to harass or promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, (iii) invades the privacy or publicity rights of any person, living or deceased, or the intellectual property or other rights of any person or entity, (iv) is unlawful or (v) is disparaging or is inconsistent with the positive images and/or goodwill manufactures of products have worked hard to create and wish to associate with their companies. Entries must comply with all applicable social networking platforms terms of service and specifications. It is the Entrants’ responsibility to ensure that they have complied with all of the conditions contained in the Official Rules. Drawing Parties are not responsible for any lost, late, misdirected, stolen, illegible or incomplete entries. Persons found tampering with or abusing any aspect of this Sweepstakes, or whom Sponsor believes to be causing malfunction, error, disruption or damage will be disqualified. Sponsor reserves the right to correct any typographical, printing, computer programming or operator errors. By participating in this Sweepstakes, Entrants agree to release and hold harmless Drawing Parties and each of their respective parent companies, affiliates, subsidiaries, officers, directors, representatives, agents and employees, from any and all liability whatsoever for any injuries, losses or damages of any kind arising from or in connection with, either directly or indirectly, 1) the awarding, acceptance, receipt, possession, use and/or misuse of any prize awarded herein; or 2) participation in the Sweepstakes or any prize related activities, including but not limited to traveling to or from any prize related activity.

PRIVACY: By participating in this Sweepstakes, Entrants agree to Sponsor’s use of their personal information for both online and offline direct marketing purposes. Personal information may also be shared with the other Drawing Parties. The individual Drawing Parties are solely responsible for their use of this information. If you do not wish to receive marketing materials from Freescale Semiconductor, Inc., or have your information shared with other Drawing Parties, you may opt out by clicking “unsubscribe” at the bottom of email from Freescale.

DISPUTE RESOLUTION: Except where prohibited by law, as a condition of participating in this Sweepstakes, Entrant agrees that (1) any and all disputes and causes of action arising out of or connected in any way with this Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (2) the parties shall use their best efforts to settle the dispute, claim, question, or disagreement, through good faith consultation and negotiation with each other, recognizing their mutual interests and attempting to reach a just and equitable solution satisfactory to both parties; (3) if the parties do not reach such resolution within a period of 60 days, then, upon notice by either party to the other, they may pursue resolution of the dispute through the United States court system; (4) the mandatory jurisdiction and venue for any lawsuit brought to resolve a dispute arising under this agreement will be Travis County, Texas, U.S.A. Under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than Entrant's actual out‐of‐pocket expenses (i.e., costs associated with entering this Sweepstakes), and Entrant further waives all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrants and Sponsor in connection with this Sweepstakes, shall be governed by, and construed in accordance with, the substantive laws of the State of Texas, USA without regard to choice of law rules.
